These Terms of Use (“Terms”) govern your use of the Prosper website, mobile application, AI coaching tools, content, features and related services (together, the “Services”).

These Terms apply alongside our:

- Cookie Policy;
- Community Standards or other policies that we may publish from time to time.
If there is any conflict between these Terms and any additional terms that apply to a particular feature, programme or promotion, the additional terms will apply to that feature, programme or promotion to the extent of the inconsistency.
Nothing in these Terms affects any rights that you have under applicable consumer protection laws.
2. About Prosper
Prosper provides an AI-powered coaching platform designed to help young people develop workplace skills, including communication, presentation skills, confidence and employability skills.
The Services may include:
- learning modules and activities;
- AI coaching conversations;
- personalised recommendations;
- practice exercises and simulations;
- voice and speech analysis tools;
- progress tracking;
- notifications and reminders;
- experimental or Beta features.
Prosper is an AI learning tool, not a companion. The Services are intended to support learning and development only. They are not a substitute for professional advice, counselling, therapy, recruitment services or educational assessment.
3. Eligibility and Age Requirements
Prosper is designed for users aged 16 to 24 years old.
You must be at least 16 years old to create an account or use the Services.
By creating an account, you confirm that:
- you are at least 16 years old;
- the information you provide to us is accurate and complete; and
- you will keep your information up to date.
Certain features, programmes, research activities or versions of the Services may have different age requirements. Where this applies, we will explain the relevant requirements before you participate or gain access.
If we reasonably believe that you do not meet the applicable age requirements, we may:
- suspend your account;
- restrict access to certain features; or
- close your account.
If we discover that someone under the minimum permitted age has created an account contrary to these Terms, we may remove the account and delete associated information in accordance with our Privacy Policy.
4. Beta Services (18+ Only)
Some parts of the Services may be offered as experimental or pre-release features (“Beta Services”).
Beta Services are currently available only to users who are 18 years old or over.
By using a Beta Service, you confirm that:
- you are aged 18 or over;
- you understand that the feature is experimental;
- you understand that the feature may contain errors, bugs or inaccuracies;
- the feature may change significantly or be withdrawn at any time.
Because Beta Services are still being tested:
- functionality may change without notice;
- information may be lost;
- performance may be interrupted;
- some features may not operate as intended.
We may suspend, modify or discontinue Beta Services at any time.
You may provide feedback or suggestions regarding Beta Services. Unless we agree otherwise, you grant us a non-exclusive, worldwide, royalty-free licence to use that feedback to improve our Services.
Nothing in this section limits or excludes any rights that cannot legally be excluded under applicable consumer protection laws.
5. Creating an Account
To use certain parts of the Services, you will need to create an account.
You may create an account by:
- registering directly with Prosper; or
- using an approved third-party sign-in provider, such as Google or Apple.
You must:
- provide accurate and complete information;
- keep your information up to date;
- keep your login details secure;
- keep your password confidential.
You are responsible for all activity that takes place through your account unless the activity results from our failure to maintain appropriate security.
You must notify us promptly if:
- you believe someone has accessed your account without permission;
- your password has been compromised; or
- there has been any unauthorised use of your account.
We may suspend or restrict your account if we reasonably believe:
- your account has been compromised;
- your use breaches these Terms;
- your use creates a safeguarding or security risk; or
- we are required to do so by law.
6. Using the Services
We grant you a limited, personal, non-exclusive, non-transferable and revocable right to use the Services for your own personal and non-commercial use.
You must not:
- use the Services unlawfully;
- interfere with the operation or security of the Services;
- attempt to gain unauthorised access to our systems;
- copy, sell, distribute or commercially exploit the Services;
- use automated tools to scrape or extract information from the Services;
- upload malicious software or code;
- impersonate another person;
- create multiple accounts to circumvent restrictions;
- use the Services in a way that harms other users.
You must not upload or share information about another person unless:
- you have their permission; or
- you otherwise have a lawful right to do so.
You remain responsible for any information, content or materials that you submit through the Services.
7. AI Features and Limitations
Some features of the Services use artificial intelligence (“AI Features”).
AI Features may include:
- AI coaching conversations;
- personalised recommendations;
- AI-generated scenarios;
- AI-generated feedback;
- speech analysis;
- transcription services;
- learning recommendations.
AI-generated content may:
- contain errors;
- be incomplete;
- be inaccurate;
- produce unexpected results;
- not always reflect your abilities or circumstances;
- produce something offensive or biased despite our safeguards – in this case, please report any examples to us using hello@prosperinnovations.com.
AI-generated content is provided for informational and educational purposes only.
The Services do not provide:
- legal advice;
- medical advice;
- mental health advice;
- counselling services;
- recruitment services;
- professional career advice.
You should use your own judgment and seek professional advice where appropriate before making important decisions.
Prosper does not guarantee:
- educational outcomes;
- qualifications;
- job offers;
- interview success;
- employment opportunities;
- career progression.
We may use trusted third-party providers to deliver AI Features. Information that you provide when using AI Features may be processed by these providers in accordance with our Privacy Policy.
Where appropriate, authorised members of our team may review AI interactions to:
- improve our Services;
- investigate misuse;
- maintain security;
- protect users;
- support safeguarding activities.
You remain responsible for decisions that you make based on AI-generated content.
8. Safeguarding and Community Standards
We want Prosper to be a safe, inclusive and respectful environment for everyone.
You must not use the Services to:
- harass, bully, intimidate or threaten another person;
- discriminate against another person because of their race, ethnicity, nationality, religion, disability, sex, sexual orientation, gender identity or any other protected characteristic;
- engage in grooming, exploitation, coercive behaviour or abuse;
- share sexually explicit, violent, hateful or otherwise harmful content;
- encourage self-harm, suicide, eating disorders or other harmful behaviour;
- impersonate another person or misrepresent your identity;
- share unlawful, defamatory or fraudulent content;
- upload content that infringes another person’s rights;
- use the Services to stalk, monitor or exploit another person;
- use the Services to facilitate criminal activity.
You must also not:
- use the Services to create or distribute harmful AI-generated content;
- use AI-generated content to deceive or manipulate other people;
- use the Services in a way that could reasonably cause harm to another person.
You do not need to tell the AI sensitive information such as:
- health or mental-health details about yourself or others;
- personal information about other people;
- identifying information about yourself.
We reserve the right to remove content, restrict access to features, suspend accounts or terminate accounts where we reasonably believe:
- these Terms have been breached;
- a user may be at risk of harm;
- another person may be at risk of harm;
- unlawful activity may have occurred;
- intervention is necessary to protect users, our Services or third parties.
Nothing in these Terms limits our ability to contact emergency services, law enforcement agencies, safeguarding authorities or other appropriate organisations where we reasonably believe it is necessary to protect someone from harm or comply with the law.
9. Mental Health and Crisis Support
Prosper provides educational and coaching tools only.
The Services are not:
- a mental health service;
- a counselling service;
- a crisis support service;
- a healthcare service;
- an emergency service.
The Services are not intended to diagnose, treat or prevent any medical or mental health condition.
If you believe that you or another person may be at risk of harm, or if you require urgent support, you should contact:
- emergency services;
- your doctor or healthcare provider;
- an appropriate mental health support organisation; or
- another trusted adult or support service.
You should not rely on the Services in an emergency or crisis situation.
10. Reporting Concerns and Moderation
You can report:
- harmful content;
- abusive behaviour;
- safeguarding concerns;
- misuse of AI Features;
- security issues; or
- suspected breaches of these Terms

We may investigate reports and may:
- request additional information;
- remove content;
- restrict access to features;
- suspend or terminate accounts;
- preserve information as evidence;
- report concerns to appropriate authorities where necessary.
We will handle reports in accordance with our Privacy Policy and applicable laws.
We are not responsible for content created or shared by users, but we reserve the right to take action where we become aware of content or behaviour that may breach these Terms or create a risk of harm.
11. Subscription Plans and Payments
Some Services are available free of charge, while others require payment.
The features available under your subscription or plan will be explained before you purchase or subscribe.
Paid Subscriptions
Where you purchase a paid subscription:
- the subscription fee;
- billing frequency;
- renewal arrangements; and
- cancellation rights
will be explained before you complete your purchase.
By purchasing a subscription, you authorise us or our payment provider to collect the applicable charges.
Automatic Renewals
If your subscription renews automatically, we will clearly explain this before purchase.
Unless otherwise stated, subscriptions automatically renew until cancelled.
We will provide reasonable notice before a renewal where required by law.
Price Changes
We may change subscription prices from time to time.
If we increase the price of an existing subscription, we will give you reasonable notice before the change takes effect.
If you do not agree to the new price, you may cancel your subscription before the price change takes effect.
Failure to Pay
If payment cannot be collected:
- we may retry the payment;
- we may suspend access to paid features;
- we may cancel your subscription after giving reasonable notice.
Third-Party App Stores
If you purchase a subscription through an app store or third-party platform, additional terms and conditions imposed by that provider may apply.
12. Free Trials and Promotional Access
We may offer:
- free trials;
- promotional subscriptions;
- discounted access;
- research or testing access.
We may set eligibility requirements for these offers.
Unless we tell you otherwise, free trials may automatically convert into paid subscriptions at the end of the trial period.
Where automatic conversion applies, we will make this clear before you start the trial.
You may cancel the trial at any time before the conversion date.
We may withdraw or change promotional offers at any time where reasonably necessary.
13. Intellectual Property Rights
The Services, including:
- software;
- AI systems;
- designs;
- graphics;
- branding;
- text;
- audio;
- videos;
- learning content;
- training materials;
- databases; and
- other materials,
are owned by Prosper or our licensors and are protected by intellectual property laws.
Except for the limited right to use the Services under these Terms, no ownership rights are transferred to you.
You must not:
- copy, distribute or reproduce our content;
- create derivative works based on the Services;
- reverse engineer the Services except where permitted by law;
- remove copyright or proprietary notices;
- use our branding without permission.
Nothing in these Terms prevents you from using information or ideas that you independently develop without using our confidential information.
14. Your Content
You retain ownership of the information and content that you submit to the Services (“Your Content”).
By submitting Your Content, you grant us a non-exclusive, worldwide, royalty-free licence to:
- host;
- store;
- process;
- reproduce;
- display; and
- use
Your Content to:
- provide the Services;
- operate and improve the Services;
- maintain security;
- investigate misuse;
- comply with legal obligations; and
- protect users.
We do not acquire ownership of Your Content.
You confirm that:
- you own Your Content or have the right to share it;
- Your Content does not infringe another person’s rights;
- Your Content does not breach these Terms.
You remain responsible for Your Content and the consequences of sharing it.
15. Privacy and Data Protection
We process personal information in accordance with our Privacy Policy.
The Privacy Policy explains:
- what information we collect;
- how we use it;
- who we share it with;
- your privacy rights;
- how long we keep information.
By using the Services, you acknowledge that certain information may be processed:
- to provide AI Features;
- to personalise coaching;
- to improve our Services;
- to maintain security;
- to support safeguarding activities.
Where required by law, we will ask for your consent before carrying out certain processing activities.
Nothing in these Terms limits your rights under applicable data protection laws.
16. Availability and Support
We aim to make the Services available at all times. However, we cannot guarantee that the Services will always be available, uninterrupted or free from errors.
The Services may occasionally be unavailable due to:
- maintenance;
- updates or improvements;
- technical problems;
- internet or telecommunications failures;
- security incidents; or
- events outside our reasonable control.
We may:
- update, modify or improve the Services;
- add or remove features;
- suspend access to all or part of the Services where reasonably necessary.
Where reasonably practicable, we will try to provide advance notice of planned service interruptions.
If you use paid Services, we will use reasonable care and skill to provide those Services in accordance with these Terms and applicable law.
Support may be available through:

- live chat; or
- other support channels that we make available from time to time.
17. Suspension and Termination
By You
You may stop using the Services and close your account at any time.
If you have a paid subscription, cancellation will take effect in accordance with your subscription terms.
Deleting the App from your device does not automatically cancel a subscription.
By Prosper
We may suspend or terminate your account immediately where we reasonably believe:
- you have breached these Terms;
- your use of the Services presents a security risk;
- your use of the Services presents a safeguarding risk;
- you have used the Services unlawfully or fraudulently;
- you have provided false information;
- we are required to do so by law.
Where appropriate, we may provide you with an opportunity to remedy the issue before taking action.
We may also suspend or discontinue all or part of the Services if we decide to stop operating them.
If we permanently discontinue a paid Service, we will provide reasonable notice and any refunds required by law.
Effect of Termination
Upon termination:
- your right to use the Services ends;
- we may disable or delete your account;
- we may retain certain information where required for legal, regulatory, security or safeguarding reasons.
Our Privacy Policy explains how long we keep personal information after an account is closed.
18. Consumer Rights and Warranties
Nothing in these Terms limits or excludes any rights that you have under applicable consumer protection laws.
We promise to provide the Services:
- using reasonable care and skill;
- substantially as described to you;
- in accordance with applicable laws.
However, you acknowledge that:
- technology is not perfect;
- the Services may contain errors;
- the Services may occasionally be unavailable;
- AI-generated content may be inaccurate or incomplete.
Except where prohibited by law, we do not guarantee that:
- the Services will always be available;
- the Services will be completely free from bugs or interruptions;
- the Services will meet every individual requirement;
- any particular educational, employment or career outcome will be achieved.
Nothing in these Terms affects your legal rights in relation to digital content or services that are not supplied with reasonable care and skill.
19. Indemnity and Responsibility for Misuse
You are responsible for your use of the Services and for any content, information or materials that you upload, submit, generate or share through the Services.
You agree to indemnify and hold harmless Prosper, its group companies, directors, employees, contractors, licensors and service providers against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal costs) arising out of or relating to:
- your breach of these Terms;
- your unlawful use of the Services;
- your infringement of another person’s rights, including intellectual property rights, privacy rights or data protection rights;
- content that you upload, submit or share through the Services;
- your misuse of AI-generated content or Output;
- your use of the Services in a way that causes harm to another person or organisation.
This indemnity only applies to losses and liabilities that are reasonably foreseeable and directly arise from your actions or omissions.
This indemnity does not apply to the extent that a claim, loss or damage arises from:
- our negligence;
- our breach of these Terms;
- our failure to comply with applicable law; or
- our own acts or omissions.
Nothing in this section limits any rights that you have under applicable consumer protection laws.
20. Limitation of Liability
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- breach of your statutory consumer rights;
- any other liability that cannot legally be excluded or limited.
Subject to the paragraph above, Prosper shall not be liable for:
- indirect, consequential, special or incidental losses;
- loss of profits, revenue, business, contracts, goodwill, reputation or opportunity;
- loss, corruption or inaccuracy of data;
- losses arising from interruptions to internet services or third-party platforms;
- losses arising from your device, software or internet connection;
- losses arising from your reliance on inaccurate, incomplete or unsuitable AI-generated content;
- losses caused by events outside our reasonable control.
You acknowledge that:
- AI-generated content may be inaccurate, incomplete or offensive;
- Output does not necessarily reflect Prosper’s views;
- Output should be independently verified before being relied upon;
- the Services do not guarantee any educational, employment or career outcome.
To the fullest extent permitted by law, Prosper’s total aggregate liability arising out of or in connection with the Services or these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed:
(a) where you have paid for the Services, the total amount paid by you to Prosper during the twelve (12) months immediately preceding the event giving rise to the claim; or
(b) where you use only free Services, £100.
This is an aggregate limit and applies to all claims arising from the same or related events.
We provide certain Services, including Beta Services and free features, on an experimental or complimentary basis. Except where prohibited by law, we do not guarantee the availability, performance or continued operation of those Services.
Nothing in these Terms affects any rights or remedies that cannot be excluded or limited under applicable law.
21. Changes to these Terms
We may update these Terms from time to time.
If we make important changes, we will take reasonable steps to notify you, for example by:
- email;
- an in-App notification; or
- publishing a notice on our website.
Where required by law, we will provide advance notice before changes take effect.
If you do not agree to the updated Terms, you may stop using the Services and close your account.
Your continued use of the Services after the updated Terms take effect means that you accept the revised Terms.

23. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
If you live in Scotland or Northern Ireland, you may also bring legal proceedings in the courts of your part of the United Kingdom.
If you live outside the United Kingdom, mandatory laws in your country of residence may continue to apply where required by law.
24. AI Disclaimer
AI Features are based on algorithms, machine learning models and predictions. As a result, AI-generated content may be inaccurate, incomplete, misleading or offensive.
The accuracy, truthfulness, completeness, legality, reliability or suitability of AI-generated content is not guaranteed and does not form part of the Services that we contractually promise to provide.
You should independently verify any important information generated by AI Features before acting on it and should not rely on AI-generated content as a substitute for professional advice or your own judgment.
Prosper shall not be responsible for decisions that you make solely in reliance on AI-generated content.

26. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms that apply to a particular feature, programme or promotion, form the entire agreement between you and us regarding your use of the Services.
If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue in full force and effect.
Any delay by us in enforcing these Terms does not mean that we waive our rights.
27. Definitions
AI Features means features that use artificial intelligence, machine learning, speech processing or automated technologies.
Beta Services means experimental or pre-release features made available by Prosper from time to time.
Privacy Policy means Prosper’s privacy notice, as updated from time to time.
Services means the Prosper website, app, AI tools, content, features and related services.
Terms means these Terms of Use.
User Content means information, materials or content that you submit, upload or create through the Services.
You and your refer to the individual using the Services.
We, us and our refer to Prosper Innovations Limited.
